These Terms of Service (“Terms”) govern the use of the NextBD Technologies website and the web & software development services provided by Md Jashim Uddin operating under the brand NextBD Technologies, based in Uttara, Dhaka, Bangladesh. By engaging our services or using this website, you agree to these Terms.

1. Services

NextBD Technologies provides custom web & software development services including websites, CRM systems, ERP solutions, inventory management, customer support dashboards, e-commerce platforms, SaaS applications and related consulting. The exact scope, price, timeline and deliverables of every project will be defined in a separate written proposal, quotation or contract agreed by both parties.

2. Project agreement

  • Each project starts after the client approves the proposal and pays the agreed advance.
  • Any change in scope must be requested in writing and may affect timeline and price.
  • Communication is conducted via email, WhatsApp or any tool agreed during onboarding.

3. Payments

  • An advance payment (typically 40–50%) is required to start the project.
  • Milestone or final payments must be made within the timeframe stated in the invoice.
  • Payments are non-refundable for work already completed and delivered.
  • Delays in payment may pause development and delivery without penalty to NextBD.

4. Client responsibilities

  • Provide accurate project requirements, content, brand assets and feedback on time.
  • Ensure that all materials supplied (text, images, logos, data) are legally owned or licensed by the client.
  • Provide timely access to required services (hosting, domains, APIs, accounts).

5. Delivery & revisions

Each project includes a defined number of revision rounds as stated in the proposal. Additional revisions or scope changes will be billed at the agreed hourly or fixed rate. Final delivery occurs after full payment is received.

6. Intellectual property

  • Upon full payment, the client owns the final deliverables specific to their project (custom code, designs, content).
  • NextBD retains ownership of underlying frameworks, libraries, reusable components and know-how used to build the project.
  • NextBD may showcase non-confidential parts of the work in its portfolio and case studies unless the client requests otherwise in writing.

7. Warranty & support

We provide a 30-day bug-fix warranty after delivery for issues directly caused by our code. New features, third-party platform changes, content updates or server issues are not covered and are billed separately. Extended support & maintenance packages are available on request.

8. Third-party services

Projects may rely on third-party services (hosting providers, payment gateways, APIs, cloud platforms). The client is responsible for their subscriptions, fees and terms. NextBD is not liable for outages, pricing or policy changes by third parties.

9. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the project. NextBD will not disclose client data, credentials or business strategy to any third party without consent.

10. Limitation of liability

To the maximum extent permitted by law, NextBD’s total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project. NextBD is not liable for indirect, incidental or consequential damages, including loss of revenue, data or business opportunity.

11. Termination

Either party may terminate a project in writing if the other party materially breaches these Terms. In case of termination, the client must pay for all work completed up to the date of termination.

12. Governing law

These Terms are governed by the laws of the People’s Republic of Bangladesh. Any dispute will first be addressed through good-faith negotiation, and if unresolved, through the courts of Dhaka, Bangladesh.

13. Updates to these Terms

We may update these Terms from time to time. The latest version will always be available on this page with a new “Last updated” date.
